Please read these Terms of Use carefully before using this website. These Terms govern your access to and use of the Aeternum website and its content.
1. Acceptance of These Terms
These Terms of Use ("Terms") are entered into by and between you and Aeternum Design & Development Group, LLC, doing business as Aeternum ("Aeternum," the "Company," "we," "us," or "our"). These Terms govern your access to and use of this website, including any content, functionality, features, and services offered through it (collectively, the "Website").
By accessing or using the Website, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access or use the Website.
2. About Aeternum and the Website
Aeternum is a design and development company working across architecture, cultural experience, creative vision, design leadership, and development strategy. The Website is intended primarily to provide general information about Aeternum, its capabilities, ideas, collaborations, and selected projects or opportunities.
3. Eligibility
The Website is intended for users who are at least 18 years old. By using the Website, you represent that you are legally capable of entering into these Terms.
4. Informational and Illustrative Materials
The Website may include architectural renderings, drawings, plans, diagrams, photographs, animations, videos, project descriptions, schedules, budgets, development concepts, cultural narratives, and other materials. These materials may be preliminary, conceptual, illustrative, aspirational, or subject to continuing review and revision.
Nothing on the Website constitutes a representation or commitment that any project, design, feature, scope, schedule, budget, partnership, financing, approval, entitlement, or development will proceed or be completed as depicted or described. Actual projects may differ materially based on client direction, design development, professional review, regulatory requirements, site conditions, financing, construction, and other factors.
5. No Professional Advice, Engagement, or Offering
Website content is provided for general informational purposes only. It is not architectural, engineering, planning, legal, tax, investment, financial, construction, or other professional advice and should not be relied upon as such.
Accessing the Website, submitting a contact form, or communicating with Aeternum through the Website does not create a client, consultant, fiduciary, partnership, joint venture, agency, employment, or other professional relationship. No such relationship exists unless established in a separate written agreement signed by an authorized representative of Aeternum.
Nothing on the Website is an offer to sell or a solicitation of an offer to buy securities, investment interests, real estate, services, or participation in any project or venture.
6. Permitted Use and Limited License
Subject to these Terms, Aeternum grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Website for your personal or internal informational purposes only. This license does not transfer any ownership or intellectual property rights to you.
7. Prohibited Uses
You may use the Website only for lawful purposes and in accordance with these Terms. You may not:
8. Copy, reproduce, republish, distribute, display, transmit, modify, adapt, translate, reverse engineer, scrape, archive, train an artificial intelligence system on, or create derivative works from Website content except with Aeternum's prior written permission or as expressly permitted by law;
9. Use any rendering, design, plan, image, text, brand element, or other Website content for a proposal, development, presentation, competition, marketing effort, commercial project, or other public or commercial purpose;
10. Misrepresent your identity, affiliation, authority, or relationship with Aeternum or any project, client, partner, consultant, or stakeholder;

15. Intellectual Property Rights
The Website and all of its content, features, functionality, organization, selection, arrangement, and presentation are owned by Aeternum, its licensors, clients, collaborators, or other rights holders and are protected by copyright, trademark, trade dress, design, database, confidentiality, and other intellectual property or proprietary-rights laws.
Protected content may include Aeternum's name and marks; project names; concepts; renderings; architectural and urban design materials; plans; illustrations; images; videos; animations; text; narratives; graphics; layouts; and software. No right, title, or interest in any such material is transferred to you.
16. Names, Marks, and Attributions
The Aeternum name, logo, trade dress, and related names, marks, and slogans are trademarks or proprietary identifiers of Aeternum. Other names, logos, and marks appearing on the Website belong to their respective owners. You may not use any such name or mark without the applicable owner's prior written permission.
17. Communications, Inquiries, and Feedback
If you contact Aeternum through the Website, you agree that the information you provide is accurate and that you have the right to provide it. We may use your contact information and message to respond to your inquiry and for related business purposes as described in our Privacy Policy.
Do not submit confidential, proprietary, privileged, export-controlled, or sensitive information through a general Website contact form. Unless Aeternum has expressly agreed otherwise in a signed written confidentiality agreement, communications sent through the Website will not be treated as confidential and do not obligate Aeternum to evaluate, use, return, or compensate you for unsolicited ideas, proposals, concepts, or materials.
If you voluntarily provide general feedback about the Website or Aeternum's services, you grant Aeternum a non-exclusive, worldwide, perpetual, irrevocable, royalty-free right to use that feedback without restriction or compensation, provided that this provision does not transfer ownership of materials that are subject to a separate written agreement.
18. Privacy
Our collection and use of Personal Information through the Website is described in our Privacy Policy. The Privacy Policy is incorporated into these Terms by reference.
19. Third-Party Websites and Services
The Website may contain links to, integrations with, or content from third-party websites, platforms, social networks, applications, or services. These links are provided for convenience only. Aeternum does not control and is not responsible for third-party content, availability, security, terms, privacy practices, products, or services. Your use of third-party resources is at your own risk and subject to the third party's terms and policies.
20. Website Availability, Accuracy, and Changes
Aeternum may update, modify, suspend, withdraw, restrict, or discontinue any part of the Website at any time without notice. We do not guarantee that the Website or any content will always be available, uninterrupted, secure, complete, current, or error-free.
Although we may attempt to keep information accurate and current, Website content may contain errors, omissions, outdated information, or preliminary materials. Aeternum has no obligation to update any content except as required by law.
21. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE WEBSITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. AETERNUM DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF ACCURACY, COMPLETENESS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, SECURITY, AVAILABILITY, AND COURSE OF DEALING OR PERFORMANCE.
AETERNUM DOES NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, THAT THE WEBSITE OR ITS SERVERS ARE FREE OF HARMFUL COMPONENTS, OR THAT WEBSITE CONTENT WILL MEET YOUR NEEDS OR EXPECTATIONS.
22. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, AETERNUM AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONSULTANTS, AFFILIATES, LICENSORS, SERVICE PROVIDERS, CLIENTS, COLLABORATORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OPPORTUNITY, OR BUSINESS, ARISING OUT OF OR RELATING TO THE WEBSITE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY LAW, AETERNUM'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE WEBSITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100). Some jurisdictions do not allow certain exclusions or limitations, so portions of this section may not apply to you.
23. Indemnification
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Aeternum and its members, managers, officers, employees, consultants, affiliates, licensors, service providers, clients, collaborators, and agents from and against claims, liabilities, damages, judgments, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, misuse of the Website, infringement of another person's rights, or unlawful conduct.
24. Governing Law and Venue
These Terms and any dispute arising out of or relating to the Website or these Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. You and Aeternum agree to the exclusive jurisdiction and venue of the state and federal courts located in Delaware, and each party consents to the personal jurisdiction of those courts.
25. Changes to These Terms
We may revise these Terms from time to time. Any changes are effective when posted on the Website unless otherwise stated. The date these Terms were last revised appears at the top. Your continued use of the Website after revised Terms are posted constitutes acceptance of the revised Terms.
26. General Provisions
If any provision of these Terms is held invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect. Aeternum's failure to enforce any provision is not a waiver. You may not assign or transfer your rights or obligations under these Terms without Aeternum's prior written consent; Aeternum may assign these Terms in connection with a merger, reorganization, transfer of assets, or other business transaction.
These Terms and the Privacy Policy constitute the entire agreement between you and Aeternum concerning your use of the Website and supersede prior or contemporaneous understandings relating to that subject. Separate written agreements between you and Aeternum remain governed by their own terms.
